The firm
How the firm is built.
A limited number of open matters, and a flat fee agreed in writing before any work starts.
How the firm takes work.
The firm keeps a limited number of matters open at a time. A flat fee and a two-day written scope depend on that. A firm built this way turns work away, and this one does.
The attorney who takes your first call writes the scope, and that same attorney does the work. Nothing gets handed down once a matter is priced.
What you agree to, and when.
The first conversation costs nothing and runs about twenty minutes. Within forty-eight hours of it you receive one figure against a defined scope, in writing, and the proposal names the date the work ends.
The firm charges no hourly rate, so a call or an email costs you nothing. No retainer rolls on quietly after the work is done.
If the work changes shape, a new proposal reaches you before anyone starts on it. A flat fee puts the risk of a long matter on the firm, and some matters do run long. The fee stays where it was.
Who calls, and about what.
The firm works with owners of healthcare and health tech companies that earn $5 million to $100 million a year. That band describes the revenue of your business. It is not a deal range and it is not what anyone thinks the company is worth.
The work falls into three areas. Acquisition and Exit covers a sale, a purchase, and the years of preparation that come before either. Digital Health and AI covers HIPAA, software the FDA may regulate, telemedicine and clinical AI. Startups and Founders covers the entity, the equity split and the founder agreements that get written once and then read for years.
Where the firm can act.
The firm practices in Texas, New York and Alaska, from its office in Houston. Florida matters run with co-counsel named to you first.
Most of healthcare deal law is federal, so the state you sit in matters less than owners expect. Some matters still turn on state law, and the firm names co-counsel in your state before any work starts.
What the firm is short on.
The firm is young. Its founder and managing attorney, Babak Kalbasigharavi, has practiced law since 2020. He spent the twenty years before that running healthcare companies. Those years are why the firm exists, and they do not add up to decades at the bar. If you want thirty years of practice behind your sale, another firm is the better call.
